Terms of Service
Your agreement with WhereFy
Welcome to WhereFy. These Terms of Service ("Terms") govern your access to and use of the WhereFy platform, website, hardware, and associated services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Services.
Service Usage
The WhereFy platform provides industrial IoT solutions designed for machine monitoring, OEE tracking, and manufacturing optimization. Users must ensure that all hardware components are installed in accordance with applicable safety standards and manufacturer specifications.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify WhereFy immediately of any unauthorized use of your account or any other breach of security.
WhereFy grants you a limited, non-exclusive, non-transferable license to use the Services for your internal business purposes, subject to compliance with these Terms.
Intellectual Property
All algorithms, dashboards, software code, hardware designs, IoT architecture, and other intellectual property provided by WhereFy remain the exclusive property of WhereFy Inc. or its licensors. These materials are protected by copyright, patent, trade secret, and other intellectual property laws.
You may not copy, modify, reverse engineer, decompile, or create derivative works of the Services or any part thereof. Any unauthorized use of WhereFy's intellectual property may result in termination of service and legal action.
Data Ownership & Privacy
You retain ownership of all machine data, production data, and business information that you collect or input into the WhereFy platform. WhereFy does not claim ownership of your data.
WhereFy may collect and use aggregated, anonymized data derived from your use of the Services to improve its products and services. Such data will not identify you or your business individually.
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated by reference into these Terms.
Limitation of Liability
WhereFy provides the Services on an 'as is' and 'as available' basis. While we strive for high accuracy in our insights and predictions, we do not guarantee that the Services will be error-free or uninterrupted.
To the maximum extent permitted by law, WhereFy shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising from your use of the Services.
In no event shall WhereFy's total liability exceed the amount paid by you to WhereFy in the twelve (12) months preceding the claim.
WhereFy is not responsible for production losses, equipment damage, or other operational consequences resulting from hardware failure, network issues, or incorrect interpretation of machine data.
Hardware Warranty & Support
WhereFy hardware components are warranted against defects in materials and workmanship for a period of one (1) year from the date of delivery, under normal use and proper installation.
This warranty does not cover damage caused by misuse, improper installation, electrical surges, environmental conditions, or unauthorized modifications.
Technical support is provided during business hours (Monday through Friday, 9:00 AM to 6:00 PM IST) via email and phone. Response times may vary based on the nature and urgency of the issue.
Termination
Either party may terminate these Terms at any time. You may terminate by ceasing all use of the Services and notifying WhereFy in writing. WhereFy may terminate your access to the Services at its sole discretion, with or without notice, if you violate these Terms or engage in conduct that is harmful to WhereFy or other users.
Upon termination, all licenses granted to you under these Terms will immediately cease, and you must stop using the Services and delete all downloaded materials.
Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.
Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration conducted in Pune, India, in accordance with the rules of the Indian Arbitration and Conciliation Act, 1996.
Changes to These Terms
WhereFy reserves the right to update these Terms from time to time. When we make material changes, we will notify you through the platform or via email. Your continued use of the Services following such changes constitutes your acceptance of the revised Terms.
It is your responsibility to review these Terms periodically for any updates. The date of the latest revision will be indicated at the top of this page.
